Start with your goals, then the buyer’s model.
The same company can be attractive to different buyers for different reasons. Compare their operating plans, financial capacity and expectations for your role. Being contacted by a buyer is an opportunity to ask questions; it is not proof of a fair price.

Private equity is a transaction model, not one standard offer.
Some investors acquire a platform and then add complementary businesses. An owner joining an established platform may have a different role from an owner whose business becomes its foundation. Ask how the buyer classifies your company and why that matters.

Discuss control, reporting, incentives and the buyer’s future exit plans. If you retain equity, understand the rights and risks attached to your stake, including dilution, future financing and when you might be able to sell it.
Questions to ask a private equity buyer
- Who provides the equity and debt, and what approvals are outstanding?
- What responsibilities and authority would I keep after closing?
- How will my management team and technicians be treated?
- What happens to the brand, local pricing and customer service?
- What rights do I receive if I roll equity into the buyer?
- Which promises will be included in signed agreements?
Evaluate capacity and fit before sharing deeply.
Discuss buyer qualification, confidentiality agreements and staged disclosure with your advisor. A competitor may need special care around pricing, customer names and employee information. Your attorney can help structure disclosure and commitments.
Look beyond a logo or an acquisition count. Ask for the legal purchasing entity, financing evidence, relevant operating experience and references where appropriate. Confirm current criteria directly; a buyer’s historical acquisition does not establish its present mandate.
Understand what you are being offered.
Rollover equity
You reinvest or retain part of your value in the acquiring business or a related entity. It carries future upside and future risk. Review security class, governance, dilution, distribution and exit rights.
Earnout
Part of the consideration depends on future performance or another condition. The measurement formula, accounting policies, buyer control and dispute process matter. It is not guaranteed cash.
Seller financing
The buyer pays part of the price later under a note. Assess interest, security, repayment priority, guarantees, restrictions and default remedies with counsel.
Exclusivity
An agreement may prevent you from talking to other buyers for a period. Understand its scope, length, diligence deadlines and termination options before signing.
