Your value is in the details
More than trucks.
More than a top-line number.
Two HVAC companies with the same revenue can look very different to a buyer. These are the questions worth preparing for.
Earnings quality
Separate recurring operating profit from one-time items. Support each proposed adjustment with records a buyer can verify.
Revenue mix
Break out service, maintenance, replacement and new construction. Show margins and trends for each rather than relying on total sales.
Maintenance relationships
Document active agreements, renewals, customer retention and service obligations. Contract revenue is useful only when its economics hold up.
People and leadership
Clarify who runs dispatch, sales and field operations. A company that depends on the owner needs a practical transition plan.
Customer concentration
Show the largest accounts, contract terms and collection history. Losing one large customer should not be hidden in the totals.
Capital and working capital
Prepare fleet, equipment and inventory schedules. Understand cash needed for payroll, receivables, warranties and ongoing projects.

an informed one.
Have a question about your company?
Call Sunny: 832-712-4162How do I sell my HVAC business?
Begin with your goals and a review of earnings, records and readiness. Then prepare a confidential business summary, assess suitable buyers, compare offers, and work through due diligence and a sale agreement. You can speak with Sunny before deciding whether to start a formal sale.
How much is my HVAC business worth?
A useful valuation starts with supportable earnings and relevant comparable transactions. The revenue mix, management, customer concentration, fleet needs and proposed deal structure all need review. A revenue figure or an online multiple alone cannot establish what your company will sell for.
Can we discuss a sale without telling employees or customers?
Start with a private conversation. Before buyer outreach, discuss how company identity and records will be controlled, who can see information, and when confidentiality agreements are required. Confidentiality can be managed, but no advisor can guarantee that a transaction will never become known.
Should I use SDE or EBITDA?
SDE describes the economic benefit available to a single owner-operator and typically adds back that owner's compensation and supportable discretionary expenses. EBITDA measures earnings before interest, taxes, depreciation and amortization; normalized management compensation still matters. They are different earnings measures and their multiples are not interchangeable.
Who buys HVAC companies?
Potential buyers include owner-operators, competitors, strategic operating companies and financial investors, sometimes through a private-equity-backed platform. Fit depends on your company's geography, scale, customer mix, leadership and the buyer's actual criteria. A public acquisition does not mean that buyer is interested in your company.
What should I do with an unsolicited offer?
Understand the valuation basis, cash at closing, contingencies, exclusivity, working capital, earnout, rollover and your obligations after the sale. Verify buyer capacity and consider whether a broader process would help you compare options. Have your attorney review anything you are asked to sign.
How long does an HVAC business sale take?
There is no reliable universal timeline. Readiness, buyer financing, diligence, licensing and the terms of the transaction can affect the schedule. Discuss a company-specific plan with Sunny; a marketplace's days-on-market statistic is not a promise of time to closing.
How much does an HVAC business broker charge?
Fees, retainers, expenses, minimums and payment timing depend on the engagement. Ask Sunny for the written scope and fee terms before committing. This website does not promise a free professional valuation, commission-only terms or no upfront fees.
