Can we discuss a sale without telling employees or customers?

Start with a private conversation. Before buyer outreach, discuss how company identity and records will be controlled, who can see information, and when confidentiality agreements are required. Confidentiality can be managed, but no advisor can guarantee that a transaction will never become known.

Should I use SDE or EBITDA?

SDE describes the economic benefit available to a single owner-operator and typically adds back that owner's compensation and supportable discretionary expenses. EBITDA measures earnings before interest, taxes, depreciation and amortization; normalized management compensation still matters. They are different earnings measures and their multiples are not interchangeable.

Who buys HVAC companies?

Potential buyers include owner-operators, competitors, strategic operating companies and financial investors, sometimes through a private-equity-backed platform. Fit depends on your company's geography, scale, customer mix, leadership and the buyer's actual criteria. A public acquisition does not mean that buyer is interested in your company.
